This guide covers the types of companies you can register, the step-by-step process, required documents, government fees, and post-registration compliance requirements.

Types of Companies in Nepal

Sole Proprietorship (Ekal Swamitva): Owned by a single individual, easiest to register, suitable for small businesses. The owner has unlimited liability.

Partnership Firm (Sajhedari Firma): Owned by two or more partners under a partnership deed. Registered at the local district administration office.

Private Limited Company (Pvt. Ltd.): Most common business structure for medium to large businesses. Limited liability for shareholders, requires minimum one director and one shareholder. Registered at the Office of the Company Registrar (OCR).

Public Limited Company (Ltd.): For larger enterprises that may list on the stock exchange. Requires minimum seven shareholders and three directors. Stringent compliance and reporting requirements.

Foreign Investment Company: For foreign nationals or entities investing in Nepal, governed by the Foreign Investment and Technology Transfer Act (FITTA). Requires approval from the Department of Industry.

Step-by-Step Registration Process (Private Limited)

Step 1: Name Reservation — Check name availability at the OCR website and reserve your company name. The name must be unique and not similar to any existing registered company.

Step 3: Submit Application — File the registration application at the OCR with all required documents and prescribed fees.

Step 4: Registration Certificate — Upon verification, the OCR issues the Company Registration Certificate. This typically takes 3–7 business days.

Step 5: PAN Registration — Register for a Permanent Account Number at the Inland Revenue Department (IRD) using the registration certificate.
